By accessing or using the Platform via our website, mobile applications, or any other interface, you (“User,” “you”) agree to be legally bound by these Terms of Use (“Terms”), our Privacy Policy, and all applicable laws.

If you do not agree with these Terms, please do not access or use the Platform.

2. Definitions

• User: Any individual using the Platform, including Students, Tutors, and Visitors.
• Student: A User registered to seek tutoring services.
• Premium Student: A Student who subscribes to premium services for priority Tutor matching and exclusive features.
• Tutor: A User offering tutoring services upon verification by MentorClap.
• Coins: Platform-specific digital currency that Tutors use to unlock Student contact details.
• Content: Any data, text, images, videos, or materials posted, submitted, or displayed on the Platform.
• Services: All products, features, applications, and tools provided via the Platform.

3. Eligibility and Registration

You must be at least 18 years old to register. If under 18, you may only use the Platform under the supervision of a parent/legal guardian.

Upon registering, you agree to:

• Provide accurate and current information.
• Maintain the confidentiality of login credentials.
• Accept responsibility for all activities under your account.

We reserve the right to suspend or terminate any account with inaccurate or misleading details.

4. License to Use the Platform

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Platform for personal or educational purposes. You may not:

Subscription fees are non-refundable unless otherwise stated in our Refund Policy.

7. For Tutors: Coin-Based System

Tutors may:

• Browse Student listings.
• Use Coins to unlock Student contact details.

Coins:

• Can be purchased via secure payment gateways.
• May be earned through referrals or performance incentives.
• Are non-refundable, non-transferrable, and expire after 12 months unless otherwise stated.

8. Verification and Background Checks

Tutors must undergo a verification process. MentorClap reserves the right to request documents (ID proof, qualifications) and may revoke access if verifications fail.

While we attempt to ensure tutor quality, MentorClap does not guarantee the academic success or personal conduct of any Tutor.

9. User Content & Feedback

You retain ownership of any content you upload, such as profile information or teaching materials. By submitting content, you grant MentorClap a worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, and display such content in connection with the Platform.

We may use any feedback, suggestions, or recommendations you provide for improvement purposes without compensation or obligation.

10. Intellectual Property

All rights, titles, and interests in and to the Platform, including all underlying software, UI/UX, and logos, are owned by MentorClap or its licensors.

You may not use our intellectual property without prior written permission. This includes:

• Copying or modifying platform elements.
• Using branding or likeness for unauthorized promotions.

11. Third-Party Services and Links

We may retain your data for as long as needed for service purposes or legal compliance, even after your account is terminated.

13. Platform Updates and Downtime

We are not liable for any interruption, loss, or delays caused by service modifications or downtime.

14. Termination

We reserve the right to suspend or permanently terminate your account:

Termination may result in loss of access to your account and forfeiture of Coins or content. We may retain data for investigative or compliance purposes post-termination.

15. Disclaimers

The Platform is provided on an “as is” and “as available” basis. MentorClap disclaims all warranties, express or implied, including:

• Tutor availability or expertise.
• Student learning outcomes.
• Platform compatibility with your device.

Use of the Platform is at your sole risk.

15. Limitation of Liability

To the fullest extent allowed by law, MentorClap shall not be liable for:

• Indirect, incidental, or consequential damages.
• Loss of data, profits, or business opportunities.
• Issues arising from third-party services or content.

Our total liability for any claim under these Terms shall not exceed the amount you paid to MentorClap in the past 6 months.

17. Indemnity

You agree to indemnify, defend, and hold harmless MentorClap, its affiliates, and employees from any claims or liabilities arising from:

• Your breach of these Terms.
• Your use or misuse of the Platform.
• Any content you post or share.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of India.

Any dispute shall be subject to the exclusive jurisdiction of the courts of Muzaffarpur, Bihar, India. Before pursuing legal action, both parties agree to attempt an amicable resolution through informal negotiations.

18. Survival

Clauses related to Intellectual Property, Indemnity, Limitation of Liability, Governing Law, and Dispute Resolution shall survive the termination of these Terms.
